1. Introduction

Welcome to Happy Tummy (Parent company: Unserious Labs Ltd) ("Company", "we", "our", "us"). By accessing or using our gut health tracking app ("App"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our App.

2. Use of Our App

You must be at least 13 years old to use our App. By using the App, you represent and warrant that you have the legal capacity to enter into a binding agreement and comply with these Terms.

3. Account Registration

To access certain features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and agree not to disclose your password to any third party.

4. Subscription and Payment Terms

4.1 Subscriptions

Our App may offer subscription-based access to certain features or content. If you choose to subscribe, the following terms apply:

• Billing: Subscription fees will be billed at the rate disclosed to you at the time of purchase and, unless otherwise stated, will be billed in advance on a recurring, periodic basis (e.g., monthly or annually).
• Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription at least 24 hours before the end of the current period. The renewal fee will be the same as the initial subscription fee unless otherwise notified.
• Cancellation: You can manage and cancel your subscription through your account settings in the App Store. Deleting the App does not cancel your subscription. If you cancel, you will retain access to the subscription benefits until the end of your current billing period, and no refund will be provided for the remaining portion of the term.
• Free Trials: If a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel at least 24 hours before the end of the trial.

4.2 One-Off Purchases

In addition to subscriptions, our App may offer one-off purchases for certain features or content. If you choose to make a one-off purchase, the following terms apply:

• Billing: One-off purchases will be billed to your payment method at the time of the transaction.
• Refunds: All one-off purchases are final and non-refundable unless otherwise required by law.

4.3 Payment Processing

Payments for subscriptions and one-off purchases will be processed through the App Store. By making a purchase, you agree to the App Store’s terms and conditions and privacy policy.

5. License and Restrictions

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal, non-commercial use. You agree not to:

• Use the App for any illegal purpose.
• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as explicitly permitted by these Terms.
• Reverse engineer or attempt to extract the source code of the App, unless applicable laws specifically prohibit this restriction.

6.1 User Content

You are responsible for the content you create, upload, or share through the App ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, and display such content in connection with the App. You represent and warrant that you have the rights to all User Content you provide and that such content does not infringe any third party’s rights.

6.2 Objectionable Content

We have a zero-tolerance policy for objectionable content. If we determine that any User Content is objectionable or in violation of these Terms, we reserve the right to terminate your account and take appropriate legal action.

7. Termination

We may terminate or suspend your account and access to the App at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

8. Disclaimers and Limitation of Liability

The App is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted or error-free. In no event will Unserious Labs Ltd, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind arising out of or in connection with your use of the App, including any direct, indirect, incidental, special, consequential, or punitive damages.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom to resolve any dispute arising out of or relating to these Terms or the App.

10. Changes to These Terms

We may update these Terms from time to time in our sole discretion. If we make changes, we will post the revised Terms on this page and update the "Effective Date" at the top. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes.
